Platform Subscription Terms

These terms govern a paying customer's subscription to access and use the Tidal Shift platform. They sit on top of, and incorporate, the Platform Terms of Use.

The subscription is the platform's only charge. It is entirely separate from — and never bundled with — the off-platform payments participants make to each other under the Standard Services Framework.

A. Scope & relationship

  • A1. What this covers. The paid subscription to access and use the platform — the platform's only charge.
  • A2. Incorporates the Terms of Use. The Platform Terms of Use govern use; these terms govern the commercials.
  • A3. Separate from service payments. The subscription is never bundled with, netted against, or contingent on any service charge between participants. We hold and move no service funds.

B. Subscription

  • B1. Access. During the subscription term you may access and use the platform per your selected plan, subject to the Terms of Use.
  • B2. Plans. Plans (for example Starter/Pilot, Growth, Enterprise/Scheme Partner) have described inclusions and usage patterns. Early-phase pricing is negotiated directly rather than fixed-published.
  • B3. Add-ons & usage. Optional modules (such as advanced reporting) and any included-usage limits are set per plan.
  • B4. Pilot & promotional pricing. Pilot or foundation participants may access at no or reduced cost for a defined period. Such arrangements do not imply a standing commitment beyond the stated period.

C. Fees & payment

  • C1. Fees. Subscription fees, billing cycle and currency (AUD) are set by your plan.
  • C2. Payment. Payment method, due dates and invoicing apply as agreed.
  • C3. Taxes. Fees are subject to GST as applicable to the software subscription.
  • C4. Price changes. We give notice of price changes, which take effect at renewal.
  • C5. Non-payment. We may suspend access after a reminder and cure period. Non-payment does not void service contracts already formed between participants.

D. Term & termination

  • D1. Term & renewal. An initial term applies and may renew automatically.
  • D2. Cancellation. Either party may cancel on notice; access continues to the end of the paid period.
  • D3. Your data on exit. You will have an export window, after which data is retained or deleted in line with the Privacy Policy.

E. Support, warranties & liability

  • E1. Support. Included support channels and response expectations apply; early-phase support is best-effort unless otherwise agreed.
  • E2. Disclaimers. The platform is provided as-is per the Terms of Use. We do not guarantee specific commercial outcomes, savings, volumes or match rates.
  • E3. Liability. Our liability under these terms is capped and excludes indirect loss, with Australian Consumer Law rights preserved where they apply.

F. General

  • F1. Changes. We may update these terms on notice; changes take effect at renewal.
  • F2. General provisions. Assignment, notices, entire agreement, severance and waiver apply on standard terms.
  • F3. Governing law. These terms are governed by the laws of Australia.
